Welcome to Reapfolio Inc. (legally incorporated as REAPFOLIO Inc.) ("Reapfolio," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Reapfolio and any related applications, products, features, and services we make available, including its AI assistant and related features (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms.
1. Use Under Separate Agreement
If you are using the Service pursuant to a separate written agreement with Reapfolio (such as a cloud services agreement, or design partner agreement), that agreement will govern your use of the Service and will supersede these Terms to the extent of any conflict.
2. Evaluation Use
The Service may be made available on an invitation-only or trial basis for evaluation purposes. Unless you have entered into a separate written agreement with Reapfolio, your use of the Service is for evaluation purposes only and not for production use.
Features and functionality available in evaluation environments may differ from those provided in production environments.
3. Shared Environment and Data
The Service may operate in a shared environment. You agree:
- Not to upload sensitive, confidential, or regulated data
- That data and interactions may be stored and processed as part of operating the Service
4. Access and Confidentiality
You agree:
- Not to share your login credentials with any other person
- Not to share or demonstrate the Service to third parties without our prior consent
- Not to disclose information about the Service's features, functionality, or capabilities to third parties
Reapfolio will not publicly disclose your participation without your consent.
5. Restrictions
You may not:
- Reverse engineer, decompile, or attempt to extract underlying systems, models, or algorithms
- Copy, modify, or create derivative works of the Service
- Use the Service to develop or improve a competing product or service
- Provide access to the Service to third parties
- Interfere with or disrupt the integrity or performance of the Service
6. Intellectual Property
The Service, including all software, features, and functionality, is owned by Reapfolio and its licensors. No ownership rights are transferred to you.
If you provide feedback, suggestions, or ideas, you grant Reapfolio the right to use them without restriction or compensation.
7. AI-Generated Outputs
The Service may generate outputs using artificial intelligence. Such outputs may be incomplete or inaccurate, and you are responsible for reviewing and validating any outputs before relying on them.
The Service does not provide legal, financial, or other professional advice.
8. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
9. Service Evolution
We are continuously improving the Service, and features or functionality may change over time.
10. No Warranties

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REAPFOLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR USE ARISING FROM YOUR USE OF THE SERVICE.
12. Termination
We may suspend or terminate access to the Service at any time, including if you violate these Terms or if we discontinue the Service.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service or applicable law. When we do, we will update the effective date above. Your continued use of the Service after any updates constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
